Abstract of Draft Contract

 

 

This agreement is between ________________________________ hereinafter called Partner, and Solano Incubator hereinafter called Passive Partner, which has zero controlling interest in the Partnership.  The office space provider is CBC.  Partner owns, directs and manages the Partnership. 

 

 

Addendums To This Main Contract Includes:

  • Confidentiality Agreement.

  • Fictitious Business Name Filing Certificate for Partnership’s Name.  Co name determined by Passive Partner.

  • List of Partner’s pre-existing clients excluded from revenue sharing with Passive Partner. [optional]

  • Marketing Strategies.

  • Office Space & Services Agreements

  • Partner’s Business Plan & Duties. 

  • Partner’s disclosing any negative elements about their abilities, themselves, or their history that would have any reasonable impact upon the partnership.

  • Partner’s full resume covering their work history, along with five references from organizations.

  • Passive Partner’s Work Background & Assets. Web Site Name selected by Partner, and reserved by Passive Partner at latter’s expense.

 

Partnership’s Main Goals:

  • Partner to find employees, contractors or others to provide the bulk of its high tech services at prevailing wages or fees. 

  • Partnership provides computer services to CBC’s clients.

  • Profit generation, with special attention to long term goals, increase in billings, and reduction of unnecessary risk.

 

Partner’s Duties:

  • Control:  Partner determines the business plan and directs the course and daily operations of the Partnership.  Partner shall manage and be solely responsible for all actions conducted by the partnership.

  • Partner shall cover and be responsible for all costs unless otherwise clearly written.  Partner shall not incur any liabilities whatsoever upon Passive Partner or CBC. 

  • Any monies or damages owed to CBC are Partner’s personal responsibility.  Excluded are fees for its space and services CBC renders.

 

Passive Partner Shall Provide To Partner:

  • Assistance from Passive Partner can include the following, without specifics for the amount of help determined unless otherwise written.

  • Office Space and Office Services.  See Office Space & Office Services section.

  • Ideas for Marketing and Business Strategy.

  • However his hourly charges are not billed to Partnership.

  • Marketing the Partnership.

 

CBC Is Not Part Of This Contract

 

Future Agreements:

  • Honesty and fairness are our motto.  As in all relationships we shall work hard in maintaining a good, honest working relationship.

  • It is Partner’s responsibility for developing the business plan, and clarifying vague matters of this agreement before and or after signing (at their discretion).  This contract has been written mutually by Partner & Passive Partner, taking into account each parties interests.

  • Signatories shall be flexible in making needed clarifications to this agreement.  A greater level of flexibility in requesting changes to this contract applies more to the Passive Partner than the Partner after this contract is signed.

  • If in doubt, common practice for the San Francisco Bay Area shall be utilized in determining arrangements based on this agreement.

 

Mediation:

  • As we are busy and it is fiscally perhaps not feasible to develop a highly detailed agreement, this contract serves as the basis for any future understandings both parties may agree to.  Both parties shall be reasonable in agreeing to further clarifications.

  • If there are differences both parties shall try to work things out.  If such is not possible then the American Arbitration Association in San Francisco is selected as the binding arbitrator.  Which ever party loses the suit shall pay the other’s full expenses not limited to attorney fees.

 

 

Computer Parts:

  • Profit sharing from computer part resale applies equally to revenue from hourly billing.
